MUTUAL NON-DISCLOSURE AGREEMENT
This Mutual Non-Disclosure Agreement ('Agreement') is entered into and made effective as of the date of execution, by and between the Disclosing Party and the Receiving Party specified herein.
1. Definition of Confidential Information: 'Confidential Information' shall include all information or material that has or could have commercial value or other utility in the business in which Disclosing Party is engaged.
2. Obligations of Receiving Party: The Receiving Party shall hold and maintain the Confidential Information in strictest confidence for the sole and exclusive benefit of the Disclosing Party.
3. Remedies & Liquidated Damages: Any breach of this Agreement shall subject the defaulting party to immediate injunctive relief and liquidated damages up to $100,000 USD.
